Terms & Conditions

Please read these Terms and Conditions carefully before using the Food for Nations Platform operated by JR Farms Limited. By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part, you may not access the Platform.

1. Definitions

  • "Platform" means the Food for Nations website, trade marketplace, merchant portal, and associated digital services operated by JR Farms Limited.
  • "Member" means a registered user who has paid a valid annual membership fee.
  • "Merchant" means a Member who has listed products or trade offers on the marketplace.
  • "Trade Offer" means a BUY or SELL listing posted by a Member on the Platform.
  • "Stakeholder" means any participant in the agri-food value chain using the Platform, including producers, off-takers, trade financiers, logistics providers, certification bodies, and government entities.
  • "Services" means all features, functionality, market intelligence, and support provided through the Platform.

2. Eligibility and Registration

  • You must be at least 18 years of age and have legal capacity to enter into contracts.
  • You must represent a legitimate business entity or be a registered sole trader.
  • You must provide accurate, complete, and current information during registration. Providing false information is grounds for immediate account termination.
  • You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorised access to your account.
  • One person or legal entity may not maintain more than one active account without our prior written consent.

3. Membership and Fees

  • Annual membership: Access to Platform services requires payment of an annual membership fee corresponding to your chosen tier (Micro-Member, Small Business, Medium-Scale Business, Cooperatives, Large Business, or NGOs/Development Partners).
  • Payment processing: All membership fees are processed securely by Stanbic IBTC Zest. By completing payment, you authorise us to charge your chosen payment method for the annual membership fee.
  • Non-refundable: Membership fees are non-refundable except where required by law or at our sole discretion in cases of demonstrable Platform failure.
  • Upgrades: You may upgrade your membership tier at any time by paying the pro-rated difference for the remaining membership period.
  • Renewal: Memberships do not auto-renew. You will receive notification 30 days before expiry to facilitate manual renewal.
  • Fee changes: We reserve the right to change membership fees. Changes take effect at the next renewal date. Current Members will be notified at least 60 days in advance.

4. KYC and Compliance

  • All Members are required to complete our Know Your Customer (KYC) verification process before accessing trade marketplace features.
  • You must provide truthful, accurate, and complete KYC documentation. Falsification of identity or business documents is a criminal offence and will result in immediate termination and potential referral to law enforcement.
  • We conduct periodic re-verification of Member information. Failure to comply with re-verification requests may result in account suspension.
  • We comply with the Central Bank of Nigeria (CBN) AML/CFT Regulations, the Nigeria Data Protection Act 2023, and, where applicable, international trade compliance frameworks.

5. Platform Use and Acceptable Use Policy

5.1 Permitted Use

You may use the Platform solely for lawful business purposes related to agri-food trade, including posting trade offers, discovering counterparts, accessing market intelligence, and applying for trade finance.

5.2 Prohibited Activities

You must NOT:

  • Post false, misleading, or fraudulent trade offers or product information
  • Circumvent Platform fee structures by completing transactions introduced through the Platform off-Platform to avoid commission or fees
  • Use the Platform to facilitate money laundering, sanctions evasion, or any other illegal activity
  • Scrape, harvest, or systematically extract Platform data without our written consent
  • Introduce viruses, malware, or other harmful code to the Platform
  • Impersonate another person, business, or entity
  • Engage in any conduct that harasses, abuses, or threatens other Members
  • Use the Platform for any purpose that violates applicable export control or sanctions laws

6. Trade Offers and Transactions

  • Platform as intermediary: Food for Nations facilitates connections between Stakeholders but is not a party to any trade transaction concluded between Members. We do not buy or sell commodities.
  • Accuracy: You are solely responsible for the accuracy of information in your Trade Offers, including commodity specifications, quality grades, pricing, and available quantities.
  • Verification: While we conduct KYC verification, we do not independently verify the quality or existence of goods listed on the Platform. Buyers are responsible for conducting their own due diligence.
  • Disputes: In the event of a trade dispute between Members, the Platform may, at its discretion, provide mediation support but bears no liability for transaction outcomes.
  • Compliance: You are responsible for ensuring your trades comply with all applicable export/import regulations, phytosanitary requirements, and trade finance conditions in the relevant jurisdictions.

7. Market Intelligence

  • Market intelligence features (commodity price feeds, corridor analytics, demand forecasting) are provided for informational purposes only and do not constitute financial, investment, or trading advice.
  • Price data is sourced from public data providers and our own marketplace activity. While we endeavour to ensure accuracy, we make no warranty regarding the completeness, timeliness, or reliability of market data.
  • You should not make trading decisions based solely on Platform data. Always conduct independent market research.

8. Intellectual Property

  • The Platform, including its design, software, content, branding, and market intelligence reports, is owned by JR Farms Limited and protected by Nigerian and international intellectual property laws.
  • We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes during your membership period.
  • You retain ownership of content you submit (product listings, trade offers, business profiles). By submitting content, you grant us a worldwide, royalty-free licence to use, display, and distribute such content on the Platform.
  • You may not reproduce, republish, or distribute Platform content (including market intelligence reports) outside the Platform without our written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • JR Farms Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
  • Our total liability for any claim arising from these Terms shall not exceed the membership fees paid by you in the 12 months preceding the claim.
  • We are not liable for the actions, omissions, or defaults of other Members or third-party service providers on the Platform.
  • We do not guarantee that the Platform will be uninterrupted, error-free, or free from security vulnerabilities at all times.

10. Indemnification

You agree to indemnify, defend, and hold harmless JR Farms Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Any content you post on the Platform
  • Any trade transactions you enter into through the Platform

11. Suspension and Termination

  • We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law or regulatory authority.
  • You may terminate your account at any time by contacting contact@foodfornations.com. Termination does not entitle you to a refund of any membership fees.
  • Upon termination, your right to access the Platform ceases immediately. We may retain your data in accordance with our Privacy Policy and applicable legal obligations.

12. Governing Law and Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
  • Any dispute arising from these Terms shall first be subject to good-faith negotiation. Failing resolution within 30 days, disputes shall be referred to arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration.
  • Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

13. Amendments

We reserve the right to amend these Terms at any time. We will provide registered Members with at least 30 days' notice of material changes by email. Continued use of the Platform after the effective date of amendments constitutes acceptance of the updated Terms.
